Artice 1
Organization
The name of this Corporation shall be Apostolic International Ministries Incorporated, herein also
referred to as the “A.I.M.” , the Fellowship, the Organization, or the Corporation.
Article 11
Purpose
The purpose of AIM is to establish a fellowship of Apostolic men and woman who have been called
into the ministry and to strengthen and edify said ministers in the bonds of unity and faith, while
providing a spirit of restoration to those who may have been overtaken in fault, as described in
Galatians 6:1 and to propagate the whole gospel of Jesus Christ both nationally and internationally.
Article 111
The Corporate Seal
The General Board may provide a corporate seal which shall bear the legal name of the
Corporation.
Article 1V
Fiscal Year
The corporation shall keep a fiscal year of July 1st through June 30th.
Article V
Membership
Membership in the Apostolic International Ministries Incorporated shall consist of all accredited
ministers and missionaries holding license in said organization. No minister will be permitted to
1. hold a license with A.I.M. who is not in full accordance with the Articles of Faith and Bylaws of this
Corporation.
Section 1 – Application for license
A. In order to become licensed with the Apostolic International Ministries each applicant must
agree to fulfill the biblical beliefs and principals affirmed by the Executive board.
B. Any minister desiring credentials shall present a completed application and must fulfill the
required standards set forth for each license level and questionnaire to the General Secretary
/ Treasurer or to the District Superintendent or District Secretary of the district in whichthey reside.
C. Any minister having been approved for licensing with the Apostolic International Ministries
Incorporated by their District Board shall have their application forwarded to the General
Board for processing and membership completion. The district board shall have 15 days to
either approve or deny any application and if the application has not been processed within
the allotted time that applicant can then submit their application to the Executive board for approval or denial
D. By the submission of any application for ministerial license, the applicant thereby
acknowledges their agreement with the Articles of Faith for the A.I.M. and their willingness
to be governed by the Bylaws of said Fellowship.
Section 11 – Local License
A. Any minister approved for a local license shall be required to maintain the local license
status for a minimum of Two years ( 2yrs) and must be under the direction of a Pastor and
District Official licensed by the Apostolic International Ministries before applying for a
General License.
B. Any minister holding a local license with the Apostolic International Ministries shall not be
authorized to hold National or District level positions unless recommended by the district
Superintendent and approved by the Executive Board.
C. The Annual license fee for the local license shall be $100 per year and shall be paid into the
district where the license is credentialed. This fee does not include any dues required by
their district and approved by the Executive Board.
Section 111 – General License
A. Upon fulfillment of the requirements for local license as set forth in these bylaws, and upon
proof of such, an individual may apply for General License,
B. A minister having granted a General License, shall be required to maintain a General
License in good standing with the Apostolic International Ministries for a period of 2 years
before applying for Ordination status.
C. The annual license fee for the General License shall be @ 200 per year and shall be paid into
the district where the Licensee is credentialed. (These fees do not include any district fees set
by the district the applicant is a part of.)
Section IV – Ordination
A. A minister may apply for Ordination, also known as FULL CREDENTIALS, if all
requirements for Ordination, as set forth in these bylaws, have been satisfied.
B. Ordination (Full Credentials) shall not be issued to any person with less than four (4 ) years'
experience in the ministry of the Apostolic/Pentecostal faith.
C. The Annual license fee for Ordination shall be $ 300 per year and shall be paid into the
district where the licensee is credentialed. This does not include any district fees that have
been set by the district and approved by the Executive Board.
Note: Upon a Force Majeure the Executive Board will hear testimony in order to expedite or
retract any license.
Section V – Processing Applicants
The following guidelines shall be used in every district to process applicants.
A. Each district shall have 15 days for which to process each application. If the application is
found to be difficult to conclude after 15 days, then an extension can be awarded by the
district board and all parties are to be contacted immediately and informed of the extension.
If the board does not hold an official vote to extend the 15-day mark, then the applicant can
request the Executive board to process the application.
B. Each District shall have a licensing committee which shall consist of the district board or any
three (3 ) or more ministers who may be appointed by the district superintendent for the
purpose of reviewing ministerial applications.
C. A minister desiring to be credentialed with the Apostolic International Ministries shall
submit an application for the license in the State/district where he resides, except in the
event of the mutual consent of the respective district board and the general secretary.
D. A check equal to one (1) year license shall be submitted with each application.
E. The submitted application for credentials must be signed by all the district board members
before being submitted to the general board for review and final approval.
Section VI – Renewals
A. All annual renewals must be approved by the District Superintendent in the district the
minister is licensed in.
B. No district superintendent shall withhold an annual fellowship card from any minister unless
proper cause is presented in writing to the district secretary.
C. Any minister failing to keep their license fee current shall receive a final notice from the
district secretary stating termination of credentials shall occur when such fee is thirty (30)
days past due. If the full amount is submitted within thirty days, the minister's license shall
deemed paid up to date. If payment is not made before the thirty days credentials shall be
terminated without prejudice.
Reinstatement if sought can be accomplished should the minister pay a $ 30 reinstatement fee along
with the regular license fees and minister agrees to go before the district board for reinstatement.
D. In the event a minister is unable to meet their license dues requirements due to hardship
caused by health, finance or other issues they may write a letter of deferment to the district
secretary who in turn will submit the request to the district board and create an assistance if
possible or approve a deferment for as long as the board approves .
Section VII
Licensed Ministers seeking credentials with A.I.M
A. Any minister who has been previously ordained with a oneness organization may be
credentialed with the Apostolic International, Ministries, provided they desire to obtain full
credentials (Ordination) with the A.I.M. and agree with the articles of faith and the bylaws of
A.I.M.
B. Any Minister from another Oneness organization, who has been previously licensed, but not
ordained, shall not be eligible for ordination in A.I.M. unless licensing requirements are met
as set forth in these bylaws,
C. Any previously licensed minister coming to the A.I.M. from another oneness organization
shall not be eligible to hold a national office in A.I.M. for a period of Three years.
D. Any minister having been approved for license with the A.I.M. having held ministerial
credentials with another organization not of the oneness faith shall not be eligible to hold a
national office in A.I.M. for a period of four years.
Section VIII
Divorced and/or Remarried Ministries
A. We recognize just causes for divorce and remarriage with the confines of clear scriptural
authority. Believing that judgment begins at the house of God. The A.I.M. will accept
applications of ministers who have been divorced and or remarried on a case-by-case basis.
An Applicant must fill out the proper forms supplied on A.I.M. applications to be processed
by the district board for approval or denial of application as they prayerfully see fit for each
applicant.
Section IX
Restoration policy for ministers
A. The A.I.M. shall endeavor to restore any person, lay-member or minister, that has fallen in
accordance with the word of God and the articles of faith of this organization.
B. Any minister seeking restoration to the ministry shall meet with the district board of their
proposed district. In the event of past criminal behavior, the district Superintendent may ask
for additional documentation before the license is issued.
C. For their protection, it is recommended that any minister seeking restoration of ministerial
credentials should have an accountability partner made up of at least one ordained minister
in the A.I.M. along with his pastor.
D. Upon approval of the minister seeking restoration the district board will create a full
restoration and accountability plan to last not less than 6 months and appoint a board
member or members to oversee the restoration and requirements set forth by the district
board.
Section I – Principal Office
A. The principal office of the Apostolic International Ministries Incorporated shall be the same
as the address of the General Superintendent. The corporation may utilize addresses for
other offices for the corporation if such becomes necessary and is approved by the General
Board.
Article VII
Officers
A. The Executive officers of the A.I.M. shall be the General Superintendent, Assistant General
Superintendent(s), and General Secretary/Treasurer and shall be referred to in these bylaws
as the Executive Board.
B. No minister holding any position on the Executive or District levels shall hold a ministerial
license with any other religious organization.
C. Other Executive officers and positions may be created when needed by a majority vote of
the executive board and must be ratified by a majority vote at the next General Conference
to remain a permanent Position.
Article II – The General Superintendent
A. The General Superintendent shall be the Chief Executive Officer of the corporation and shall
have oversight of all business of the corporation and general management of the other
officers of said corporation.
B. The General Superintendent shall reside over all meetings of the corporation, including but
not limited to, General Conference business meetings, and General Board Meetings.
C. The General Superintendent shall have the power to appoint all committees pertaining to
the general work of the A.I.M. or to allot the Assistant General Superintendents to appoint
such committees.
D. The General Superintendent shall oversee all General operations of the Corporation.
E. The General Superintendent shall countersign all licenses granted to ministers of the
Apostolic International Ministries Incorporated.
F. The General Superintendent, by virtue of his office, shall act as President of the Corporation
in all matters pertaining to the corporation, legal or otherwise.
G. The Teneral Superintendent shall be authorized to sign all official and legal documents
pertaining to the corporation.
H. Should a vacancy occur in the office of the General Superintendent, either by death,
resignation, or removal, one of the three (3) Assistant General Superintendents shall be
selected by the lot system, to take over the duties of the General Superintendent until the
office of General Superintendent can be voted upon at the next General Conference by the
body.
I. At a duly called meeting of the Executive Board for this purpose, the General
Secretary/treasurer shall take the names of the Assistant Superintendents, and after
prayer shall draw the names of one of the Assistants from a concealed container to take
over the duties of the General Superintendent Until an election can be held at the Next
General Conference to elect a capable individual to be General Superintendent.
Section III – The Assistant General Superintendent(s)
A. To work under and in harmony with the General Superintendent.
B. To serve on the Executive Board
C. To Provide to the Executive and General board their counsel and vote regarding any matter
affecting this organization and its operation with regard to secular matters as well as to
address biblical principles and this organizations articles of faith and constitution.
D. To fill the Office of General Superintendent if and when necessary or when so requested by
the General Superintendent.
E. To perform any task assigned to him by the General superintendent, Executive Board or
General Board.
F. As the Regional Representative, each one shall represent their region while serving as a
member of the Executive Board. In addition, each Regional Representative shall:
a. Work in his region to support and promote all National and District functions and events.
b. Promote unity, cooperation and communication between Districts in his region and
between other regions representatives and their regions.
c. Be responsible for organizing, scheduling, promoting and overseeing regional functions,
meetings and services, and for promoting and supporting national department regional events.
d. Act on behalf of the General Superintendent in any capacity assigned to him by the general
superintendent, executive board or general board.
e. To work in harmony with their regional leadership and keep informed of district events and
any district issues within their respective region.
f. To oversee the national and international departments, to assist in the promotion,
alignment, direction and vision of any department.
G. To be the first voice of counsel to all national and international departments equally
separated between each Assistant General Superintendent.
H. Regions for each Assistant General Superintendent shall be chosen in a unified decision
between each of the Assistant General Superintendent(s) in a manner that is fluent and
beneficial to the districts of A.I.M.
.
Section IV – The General Secretary/Treasurer
A. The General Secretary/Treasurer shall be one person.
B. The General Secretary/Treasurer shall be an elected and qualified candidate and shall be
vetted by the executive board and presented to the general body as candidate for
Secretary/treasurer
C. The General Secretary/Treasurer Shall be considered a voting member in the Executive
Board meetings and shall have full voting privileges.
D. The General Secretary/Treasurer shall be responsible for the taking of minutes of all
meetings of the Executive Board and shall be tasked with the preservation of all records of
business pertaining to the corporation and its history.
E. The General Secretary/Treasurer shall keep a full and accurate account of the receipts and
disbursements belonging to the A.I.M and shall deposit all monies in the name of and in
credit to the Corporation in such banks as may be designated by the President and Executive
Board.
F. The General Secretary/Treasurer shall not be personally liable for any funds having been
deposited pursuant to the order of the General Board.
G. The General Secretary/Treasurer shall receive and disburse all the general funds of the
corporation and shall present an annual report to the General Conference.
H. The General Secretary/Treasurer shall have the financial books of the corporation audited
once per year prior to the General Conference by an auditor approved by the Executive and
General Board and shall present the results of said audit to the General Board for its
approval.
I. The General Secretary/Treasurer shall sign all licenses and fellowship cards along with the
General Superintendent.
J. The General Secretary/Treasurer shall submit a planned budget to the General Board on an
annual basis.
K. The General Secretary/Treasurer shall be authorized to withhold any credential, license, or
fellowship card in the event he has been notified by a district official or any member of the
General Board that the minister might be in question, or dues have not been received after a
30-day notice has been completed.
L. The General Secretary/Treasurer shall insecure that all bank accounts relating to the
corporation, whether directly or indirectly, shall require Two signatures for all transactions.
Section V – General Board
A. The General Board shall consist of the members of the Executive Board as stated in Article
V, Section I, Paragraph A of these bylaws and the district superintendents, and any national
level officials if applicable.
B. The General Board shall oversee the operation and welfare of the corporation in all things
business and spiritual.
C. The General Board shall conduct all business of the corporation as directed by these bylaws.
Section 1 – The annual Gathering
A. The Ministers of the Apostolic International Ministeries shall gather on an annual basis to
conduct the business of the corporation and provide spiritual guidance through church
services. The name of this gathering shall be called the General Conference.
B. The Dates and locations for each General Conference shall be decided by the General Board
at the General Conference each preceding year.
C. The General Board shall approve the theme of any upcoming conference, the printing of
any brochures for said conference, or any expenditures connected to the Conference.
Section II – General Conference Business Meeting
A. The annual business meeting shall be presided over by the General Superintendent per
Article VII, Section II,
Paragraph B of these bylaws.
B. All business meetings shall be conducted according to Roberts' rules of order.
C. Only those members of A.I.M. who are deemed in good standing shall be allowed to cast
votes in any election.
D. Those Members deemed not in good standing shall:
1. Not be permitted to cast a vote in any district of national election.
2. Not be allowed to hold or be elected to any district of national office.
3. Not be allowed to submit resolutions or verbally participate in any district or national
business meeting.
E. The term in good standing is defined as those members:
1. Whose lives and ministries are consistent with the article of faith and bylaws of this
fellowship.
2. Show support to the Apostolic International Ministries by attending, if possible, the district
and general conferences and any other functions of the fellowship.
3. Who promote a spirit of unity among the brethren and one who supports the Apostolic
Innternational Ministries by satisfying financially the appropriate license fee requirement
annually, and giving other financial support as one is able.
Section III
– General Conference Business Meeting Agenda
A. All business meetings shall be opened with prayer.
B. The business meeting shall be presided over by the General Superintendent in accordance
with these bylaws.
C. The reading of the minutes of the last annual General Conference business meeting shall be
read by the General Secretary/Treasurer unless a motion is made with a second and vote
taken to waive the reading of the minutes per Roberts Rules of Order.
D. The reading of reports shall be given in the following order:
1. Gerneral Superintendents
2. Assistant General Superintendents (if Applicable )
3. General Secretary/Treasurer
4. Missions
5. Youth Department
6. Ladies Auxiliary
7. Sunday School
8. Publications Department
9. Any Committee Reports
10. Unfinished Business & Resolutions
11. Election of Officers
12. New Business and Resolutions
13. All additional reports shall follow
14. Adjournment
E. All resolutions Shall be properly written and signed by the author and submitted to the
resolution committee which shall be appointed by the General Superintendent. Any
resolutions for consideration must be submitted within three months prior to the first day of
the General Conference.
Section IV – Election of General Officers
A. The election of the General Officers of this Fellowship shall be held at the General
Conference and shall be done by secret ballot.
B. The General Superintendent shall be elected to serve a five (5) Year term.
C. The three Assistant General Superintendents shall serve 4yrs
D. The General Secretary/Treasurer Shall be a term of 2 years
E. The District Superintendent shall serve a term of 3 years
F. All other National, International, District and Executive positions shall serve a term of 2
years.
G. Any member holding a position with the Apostolic International Ministries shall be eligible
to be reelected to those positions if said member remains in good standing with the
fellowship as defined in these bylaws.
Section V- Election Procedures
A. Any officer seeking reelection shall be elected by a yes/no vote. Should any officer fail to
obtain a 51% vote, no election will have occurred, and the election will proceed to a
nominating ballot.
B. A nominating ballot shall be cast with the two names having received the largest number of
votes being presented to the conference for an electoral ballot which shall follow.
C. Any nominee wishing to withdraw his/her name from consideration must do so when the
nominating ballot is announced.
D. In the event a nominee withdraws his/her name from consideration an election will
continue with the remaining nominee's name. A yes/no vote will then be taken on the
remaining nominee. The nominee must receive a two-thirds (2-3) yea vote to be elected. If
the remaining nominee fails to receive a two-thirds (2-3) yea vote there is no election, and a
new nominating ballot shall be taken.
E. If a majority is not obtained on the second electoral ballot, balloting shall continue until
elections are successfully held.
Article IX
Districts
Section I – Establishment of Districts
A. The Fellowship hereby makes provision for Pastors and Evangelist, who are licensed by the
A.I.M. to recognize themselves in Districts, and to hold local conferences at regular intervals
in their respective Districts.
B. To establish a new District, the said District must have no less than (4) four ministers.
C. In the event of no District conferences being held due to the district being newly formed, the
district Superintendent of said district shall be appointed by the Executive Board.
D. Every District within the A.I.M. may adopt district bylaws to govern the affairs of said
district if those bylaws are consistent with the bylaws of A.I.M. and ratified by the Executive
Board.
E. No district bylaws, or amendments to said bylaws shall ever supersede the General bylaws
adopted by the General Conference of the A.I.M.
Section II – The District Board
A. Members of the District Board for each district shall be individuals who shall fill the
following district offices as needed:
1. District Superintendent
2. Assistant District Superintendent
3. District Secretary/Treasurer
4. Foreign Missions Director
5. Home missions Director
6. Youth Leader
7. Youth Secretary
8.Ladies Auxiliary Director
9. Sunday School Director
10. District Prayer Coordinator
Section III – District Elections and Terms
A. The district executive officers shall be elected by their district conference and shall serve for
terms as follows:
1. The district superintendent shall serve a term for 3yrs.
2. All other district positions shall serve a term of 2yrs.
B. Each elected District official shall work in harmony with the District Superintendent and
with the district and general board.
C. A member of the General Executive Board shall conduct the election of each District
Conference.
D. The District Conference shall be determined by a simple majority of the votes cast at the
Conference.
E. Term Limits will not apply to elected officers of any District Conference.
F. Each elected District official shall work in harmony with the District Superintendent and
with the District Board.
G. A member of the General Executive Board shall conduct the election of each District
Conference.

Section IV – The purpose of the District Conference
A. The Purpose of each District Conference shall be:
1. Where licensed ministers of the A.I.M. shall gather and conduct the business of the district
and shall schedule any future District functions.
2. A place where members gather to fellowship and be strengthened in the bonds of unity.
3. To receive applications for ministerial license.
4. Where each applicant for license in the A.I.M. shall meet with the District Board for
examination.
5. To ordain all candidates who have met the criteria for ordination as set forth in these
bylaws.
Section V – The District Conference Business Meeting
A. The District Conference Business meeting shall be held at the District Conference at a time
and place named by the District Executive Board.
B. A meeting of the District Board may be called by the District Superintendent for the purpose
of reviewing ministerial applications, discussing upcoming District functions, reviewing
District finances, or any other District related business if a 30-day notice has been given to all
District Board members.
C. No vote shall be taken on any action by the District Board unless a quorum of Board
members are present.
Artice X
Judicial Procedures
Section I – The purpose of Judicial Procedures

A. The purpose of the judicial procedure is to resolve grievances and complaints of ethical,
moral, and doctrinal violations brought against ministers in the Apostolic International
Ministries Incorporated.
B. In as much as it is teh desire of the A.I.M. to protect the rights of the accused, it must always
be presumed that the accused is innocent until proven guilty or unless a confession or
wrongdoing is made.
Section I – Grievance Committees
A. It shall be the duty of each District Superintendent to appoint a grievance committee of at
least three (3) ministers in good standing, of which the District Superintendent may be a
member of, to assist in settling any disputes or difficulties arising between two or more
ministers in the district.
Section II – Discipline of Ministers
A. All ministers license with the A.I.M. shall be accountable to the General Board of the
fellowship in all matters of conduct and doctrine.
B. All charges against any minister shall be made in writing, in triplicate and signed by two (2)
or more accusers.
1. The original and one (1) copy shall be filed with the General Secretary of the A.I.M. who
shall send one (1) copy to the accused minister and one (1) copy shall be retained by the
accusers.
2. The General Superintendent shall designate a time and place for a hearing of the charges,
and shall give all involved parties, withing fifteen (15) days or more, notice of said hearing.
3. A notice shall be mailed to the last known address of the accused stating the date, time, and
place of the hearing and the nature of the charges, advising him of his right to be heard in
person or in writing at said hearing.
C. A court of inquiry consisting of the members of the General Board shall hear the evidence
brought against the accused.
D. No testimony or evidence shall be admissible at any hearing, except that which directly
bears upon the charges made in writing as aforesaid in these bylaws.

E. Based on the evidence presented, a decision on the guilt or innocence of the accused will be
made by the General Board.
F. A majority vote of the members of the General Board present at any duly called hearing
shall constitute a final and binding decision in such matters.
G. If the accused confesses repents and shows a contrite heart, he should be given reasonable
consideration and leniency. If possible, full restoration should be extended after a suitable
and proper probationary period of time.
H. Should the accused be found guilty and refuse and he may be dropped from the fellowship
or should the charges against the accused be that of a criminal nature the accused name may
be ordered removed from the ministerial list and he may be dropped from the fellowship.
I. In the event the accused is found guilty of any criminal action it shall be mandatory for the
District Board and or Executive Board to report said criminal action to the proper
authorities for criminal investigation. Should any criminal act not be reported to the proper
authorities, those whose duty it is to report said criminal acts are to face disciplinary charges.
J. IF the charges against the accused is not sustained, the accuser(s) shall be deemed guilty of
malicious slander and sowing discord and division and may be disciplined, even to the extent of the
removal of their names from the ministerial fellowship of the A.I.M.
Article XI
Amendment
Section I – Amendments to the Bylaws
A. These bylaws, or any part thereof, may be altered, amended, or repealed and new bylaws
may be adopted by a two-thirds (2-3) majority vote at a scheduled business meeting at
General Conference when it has been made known to the constituency of the Apostolic
International Ministries Incorporated that a vote will be held on said bylaws and given a 90
day prior notice.
B. No changes shall be made to these bylaws when a vacancy for a duly elected General
Superintendent occurs.

C. If any article or any portion of these bylaws are found to be in conflict with existing state or
federal law or is found to be unenforceable and/or invalid, such a finding shall not invalidate
the bylaws in their entirety, only the provision(s) as described above shall be considered null
and void.
Section II – Amendments to the articles of Incorporation
A. The articles of incorporation of the organization may be amended at any regular meeting
for the members of the General Board or at any special meeting of the same called for that
purpose.
B. A Majority vote of the members present or represented by an absentee ballot at the meeting
shall represent an election.
C. No vote may be taken to amend the article of incorporation unless a written notice is given
to each member of the General Board at least two (2) weeks prior to the meeting date.
D. Any amendments to the articles of incorporation shall be executed and acknowledged by the
officers in whom the management of the affairs of the corporation is vested and shall be filed
and recorded in the same place as the original articles.
Article XII
Electronic Meetings
A. The Executive Board, General Board, National Department Boards, District and
Department leaders, as well as all appointed committees may meet via telephone conference
or internet based online meeting program platforms to conduct meetings in accordance with
their organizationsal duties and responsibilities. All business conducted in these meetings
shall have the same weight effect authority and result as if it were an in-person meeting.
